These B2B Partner Terms of Service (“Partner Terms”) govern the relationship between KORUSTAY LIMITED (“KoruStay”, “we”, “us”) and the business entity applying to participate in the KoruStay Partner Network (“Partner”, “you”).

By submitting a Partner Application on korustay.co.nz/partners/ or placing an offer within the KoruStay Platform, you agree to be bound by these Partner Terms.

1. Scope & Ecosystem Overview

1.1 The Platform: KoruStay operates a digital platform providing Digital Guest Guides, AI Concierge tools, and management software to short-term rental hosts, property management companies (PMCs), motels, and accommodation providers (“Hosts”), as well as their staying guests (“Guests”).

1.2 Partner Network: The KoruStay Partner Network enables third-party businesses to showcase exclusive wholesale offers, discounts, products, or services directly to Hosts via the Host Dashboard (“Host Savings”) or to Guests via Digital Guest Guides (“Guest Perks / Explore”).

1.3 Independent Relationship: You participate as an independent contractor. Nothing in these Partner Terms creates a partnership, joint venture, agency, or employment relationship between KoruStay and Partner.

2. Partner Obligations & Offer Warranties

2.1 Accuracy & Honor Warranty: You warrant that all information, images, copy, pricing, and discount details provided in your application are accurate, up to date, and compliant with the New Zealand Fair Trading Act 1986 (or equivalent local consumer protection laws). You agree to strictly honor all validly claimed offers presented by active KoruStay Hosts or Guests.

2.2 No Bait-and-Switch: You must not inflate standard retail prices prior to applying a discount or offer substandard services to KoruStay users.

2.3 Maintenance of Redemption Channels: You are solely responsible for ensuring that all promo codes, trackable URLs, and intake systems remain functional. You must give KoruStay at least ten (10) business days’ written notice prior to deprecating or altering a live promo code or landing page link.

3. Intellectual Property, Brand License & Reciprocal Marketing

3.1 License Grant to KoruStay: Partner grants KoruStay a non-exclusive, worldwide, royalty-free, revocable license to use, display, format, and reproduce Partner’s business name, logos, trademarks, promotional copy, and submitted media across the KoruStay Platform, website, marketing materials, and partner directories solely for promoting the Partner’s offer.

3.2 Ownership: Partner retains all ownership rights in its intellectual property. KoruStay retains all ownership rights in the KoruStay Platform, UI, and trademarks.

3.3 Reciprocal Marketing & Backlink Requirement: In consideration for participating in the zero-commission KoruStay Partner Network, Partner agrees to make reasonable efforts to co-promote the partnership. Partner agrees to display an official hyperlinked “KoruStay Preferred Partner” badge or direct text link on Partner’s digital properties (e.g., website footer, partners page, or blog) referencing KoruStay (korustay.co.nz).

3.4 Partner Badge License: KoruStay grants Partner a limited, revocable, non-exclusive, non-transferable license during the active term to display official KoruStay Partner badges and logos solely to signify Partner’s participation in the KoruStay Partner Network.

4. Commercial Terms & Zero Commission Model

4.1 Lead Generation & Referral Model: Unless explicitly agreed upon in a separate written commercial addendum, KoruStay charges zero commission on leads, sales, or redemptions generated through standard Partner Network listings. Partner retains 100% of the revenue generated from KoruStay referrals.

4.2 Non-Exclusivity: Participation in the KoruStay Partner Network is non-exclusive. KoruStay reserves the right to list competing products, services, or partner offers within the same category or geographic region.

4.3 Tier & Category Gating: Partner acknowledges that KoruStay reserves the right to segment, gate, or restrict access to Partner offers based on Host Subscription Tiers (e.g., Premium vs. Starter), property classification, or geographic relevance.

4.4 Featured Placement & Co-Promotion Boost: KoruStay reserves the right to prioritize listing visibility, grant “Verified Partner” badges, or feature offers in promotional campaigns for Partners who actively maintain reciprocal website links or engage in joint co-marketing activities.

5. Data Protection, Privacy & Lead Handling

5.1 Lead Data Capture: When a Host submits a Lead Generation Form for a Partner offer, KoruStay collects and transfers relevant contact details (including Name, Email Address, and KoruStay Member ID) to the Partner to enable offer fulfillment.

5.2 Privacy Act Compliance: Partner warrants that it will store, process, and handle all lead data received via KoruStay in strict compliance with the New Zealand Privacy Act 2020, Information Privacy Principles (IPPs), and all applicable global data protection laws (including GDPR where relevant).

5.3 Purpose Limitation: Partner must use lead data solely for fulfilling the requested offer or service. Partner shall not:

• Sell, rent, lease, or transfer lead data to third parties;
• Add the Host to unsolicited general marketing mailing lists without explicit, compliant opt-in consent gathered in accordance with the Unsolicited Electronic Messages Act 2007 (UEMA) or applicable anti-spam legislation.

6. Customer Contracts & Liability Disclaimers

6.1 Direct Contract: Any transaction, sale, contract, or service delivery resulting from a Partner offer is executed strictly and exclusively between the Partner and the Host (or Guest). KoruStay is not a party to the contract of sale or service.

6.2 Service Delivery Liability: KoruStay accepts zero liability for the performance, quality, delivery, safety, or legality of Partner’s products or services.

6.3 Indemnification: Partner agrees to indemnify, defend, and hold harmless KORUSTAY LIMITED, its directors, employees, and agents from and against any claims, losses, damages, liabilities, or expenses (including legal fees) arising directly or indirectly out of:

• A breach by Partner of these Partner Terms;
• Any product liability, injury, property damage, or dispute arising from products or services delivered by Partner to a Host or Guest;
• Misleading advertising or failure to honor a published deal.

7. Termination & Offer Removal

7.1 Termination by Partner: Partner may request the removal of its offer from the KoruStay Platform at any time by providing written notice to partners@korustay.co.nz. KoruStay will remove the listing within five (5) business days.

7.2 Removal by KoruStay: KoruStay reserves the right to immediately suspend, unpublish, or terminate any Partner listing without prior notice if:

• KoruStay receives multiple verified complaints from Hosts regarding service quality or unhonored deals;
• Partner promo codes or landing links are broken or non-functional;
• Partner breaches these Partner Terms or applicable laws.

8. Governing Law

These Partner Terms are governed by and construed in accordance with the laws of New Zealand. Any legal action or dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
